7. Limitation of Liability

• LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES
• DAMAGES RESULTING FROM YOUR ACCESS TO OR USE OF (OR INABILITY TO ACCESS OR USE) THE SITE OR SERVICES
• DAMAGES RESULTING FROM ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SITE

WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR ANY OTHER LEGAL THEORY, EVEN IF JET'S PIZZA HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT SHALL JET'S PIZZA'S TOTAL CUMULATIVE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE USE OF, OR INABILITY TO USE, THE SITE OR SERVICES EXCEED THE GREATER OF: (A) THE TOTAL AMOUNT PAID BY YOU TO JET'S PIZZA IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE CLAIM; OR (B) ONE HUNDRED DOLLARS ($100.00).

Some jurisdictions do not allow the exclusion of implied warranties or the limitation or exclusion of liability for incidental or consequential damages. Accordingly, some of the above limitations may not apply to you. In such jurisdictions, Jet's Pizza's liability shall be limited to the greatest extent permitted by applicable law.

8. Indemnification

You agree to defend, indemnify, and hold harmless Jet's Pizza and its officers, directors, employees, contractors, agents, licensors, service providers, successors, and assigns from and against any and all claims, liabilities, damages, judgments, awards, losses, costs, expenses, and fees (including reasonable attorneys' fees) arising out of or relating to:

• Your violation of these Terms of Service
• Your use or misuse of the Site or Services
• Your violation of any applicable law, regulation, or third-party right, including without limitation any intellectual property right, privacy right, or consumer protection law
• Any content you submit, post, or transmit through the Site
• Any dispute or claim between you and any third party
• Your fraudulent, negligent, or intentionally wrongful acts or omissions
• Your breach of any representation, warranty, or obligation under these Terms

Jet's Pizza reserves the right, at our own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, in which event you will cooperate with Jet's Pizza in asserting any available defenses. You agree not to settle any matter subject to indemnification without the prior written consent of Jet's Pizza.

9. Governing Law and Jurisdiction

These Terms of Service and any disputes arising out of or relating to them, or to your use of the Site or Services, shall be governed by and construed in accordance with the laws of the United States and the state in which Jet's Pizza's principal place of business is located, without regard to its conflict of law principles.

To the extent that any dispute is not subject to arbitration as set forth in Section 10 below, you agree to submit to the personal and exclusive jurisdiction of the state and federal courts located within the United States and waive any objection to the exercise of jurisdiction over you by such courts and to venue in such courts.

Except for disputes related to intellectual property rights and except where prohibited by law, you and Jet's Pizza agree that any dispute, claim, or controversy arising out of or relating to these Terms or the use of the Site or Services shall be resolved exclusively through binding individual arbitration, rather than in court. This arbitration agreement is governed by the Federal Arbitration Act (9 U.S.C. §§ 1 et seq.).

Arbitration shall be conducted by a recognized arbitration organization under its applicable rules. The arbitrator shall have exclusive authority to resolve any dispute relating to the interpretation, applicability, enforceability, or formation of this agreement to arbitrate. The arbitrator's decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.

10.3 Class Action Waiver

YOU AND JET'S PIZZA AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE ACTION. Unless both you and Jet's Pizza agree otherwise in writing, the arbitrator may not consolidate more than one person's claims and may not otherwise preside over any form of a representative or class proceeding.

10.4 Exceptions

Notwithstanding the foregoing, either party may seek emergency injunctive or other equitable relief from a court of competent jurisdiction to protect its intellectual property rights pending the completion of arbitration. Additionally, either party may bring claims in small claims court if those claims qualify, so long as the action remains in small claims court and is brought only on an individual basis.

10.5 Opt-Out

You have the right to opt out of binding arbitration within thirty (30) days of the date you first accepted these Terms by sending written notice to [email protected] with the subject line "Arbitration Opt-Out." If you opt out, neither party can require the other to participate in arbitration, and disputes will be resolved in court as described in Section 9.

11. Term and Termination

These Terms are effective as of the date you first access or use the Site and will remain in full force and effect unless and until terminated in accordance with the provisions herein.

Jet's Pizza reserves the right, in its sole discretion, to suspend or terminate your access to and use of the Site and Services, at any time and for any reason, including but not limited to:

• Violation of any provision of these Terms
• Requests by law enforcement or other government agencies
• Extended periods of inactivity
• Unexpected technical or security issues
• Fraudulent, deceptive, or harmful behavior
• Conduct that we believe, in our sole judgment, is harmful to other users, third parties, or the business interests of Jet's Pizza

Termination of your access does not relieve you of any obligations you incurred prior to termination.
